Corporations Biennial Report FAQs 1. When is my Initial Biennial Report (Initial Report) due? An Initial Report is due within 6 months from the date an entity is incorporated to add the ownership and/or officers of the entity. This is a free filing that can be completed online. Most Domestic (Alaskan) entities file this report. Foreign entities do not file an Initial Report. You can check your Entity Details at Search Corporations Database for your next Biennial Report due date. The biennial reporting periods open three months prior to the due date (online or hard copy). For more information, see Notice: The Entity's Responsibility For Profit Corporations, Professional Corporations, Limited Liability Companies, and Limited Liability Partnerships: If the entity is created in an even-numbered year, the Biennial Report due date will be January 2nd of every even-numbered year. Reporting is open beginning October 2nd of the previous year. If the entity is created in an odd-numbered year, the Biennial Report due date will be January 2nd of every odd-numbered year. Reporting is open beginning October 2nd of the previous year. Biennial reports postmarked after February 1st incur a late penalty fee. Non-Profit Corporations, Cooperatives, and Religious Corporations: If the entity is created in an even-numbered year, the Biennial Report due date will be July 2nd of every even-numbered year. Reporting is open beginning April 2nd of the filing year. If the entity is created in an odd-numbered year, the Biennial Report due date will be July 2nd of every odd-numbered year. Reporting is open beginning April 2nd of the filing year. Biennial Reports postmarked after August 1st incur a late penalty fee. Limited Partnerships and Cooperative Electric & Telephone: These entity types do not file Biennial Reports with this office at this time. 3. What is the fee for a Biennial Report? Initial Reports (due within first 6 months): Domestic: Free Foreign: Not applicable For-Profit Corporations, Professional Corporations, Limited Liability Companies, and Limited Liability Partnerships due January 2nd (filing as early as October 2nd): Domestic: $100.00 or $137.50 with late fee on or after February 2nd Foreign: $200.00 or $247.50 with late fee on or after February 2nd Non-Profit, Religious, or Cooperative Corporation due July 2nd (filing as early as April 2nd): All Non-Profit/Religious: $25.00 or $30.00 with late fee on or after August 2nd All Cooperative: $100.00 or $110.00 with late fee on or after August 2nd Biennial Reports must be postmarked, complete and compliant, before February 2nd or August 2nd to avoid late fees. An entity that has been Involuntarily Dissolved as a result of missing one or more Biennial Reports will require additional reinstatement fees. 4. How do I file my Biennial Report? Biennial Reports can be filed online OR hard copy (not both). Please do not duplicate your filing or payment by submitting both online and hard copy. In addition, please do not submit hard copy reports in duplicate by both fax and U.S. mail. This can result in duplicate charges for your Biennial Report. If your Biennial Report is due, click this link and select ONLINE for immediate processing or PRINT FORM to file hard copy: Biennial Report Online filings may be paid by credit card. If filing hard copy, you may pay by check or credit card payment. All major credit cards are accepted. Checks can be made payable to the State of Alaska. 5. It's not letting me update my Registered Agent information in the Biennial Report. Registered Agent information cannot be changed in a Biennial Report. The correct (and only) form to update or change Registered Agent information is the Statement of Change form, which can be found at Forms by Entity Type and select the correct entity type in the menu. If you are receiving an error message due to the entity’s status: The entity may be Non-Compliant for returned mail from the Registered Agent or invalid Registered Agent information (this shows as blank or “No Address On Record”) and the report cannot be filed online. File the Biennial Report hard copy, along with the appropriate Statement of Change form to update the Registered Agent’s information: Forms by Entity Type The entity may be Involuntarily Dissolved or Revoked and the report cannot be filed online. If you are receiving an error message while completing the Biennial Report: If you are unable to correct the error listed in the prompt, please contact the Corporations Section at Corporations@Alaska.Gov. To better assist you, include the error message you are receiving, along with your entity’s legal name and Alaska Entity Number. 7. Can I update my officials/ownership in a Biennial Report? For-Profit Corporations, Professional Corporations, Limited Liability Companies: Yes. Please update your officials/ownership when a Biennial Report is due for your entity. The ownership contained in this report must be as of September 30th before the January 2nd due date. Non-Profit Corporations and Cooperatives: Yes. Please update your officials when a Biennial Report is due for your entity. The information contained in this report must be as of June 30th before the July 2nd due date. Religious Corporations: This entity does not update its Sole Official in a Biennial Report. File a Notice of Change of Sole Official for a Religious Corporation: Forms by Entity Type Limited Liability Partnerships: This entity type does not update its Partners in a Biennial Report. How do I update my officials/ownership if I have already filed my Biennial Report or it isn’t due? Please complete a Notice of Change of Officials form for your entity type: Forms by Entity Type Most entities are required to update their officials/ownership within 90 days from the date the changes or resignations are effective. For more information, see Notice: The Entity's Responsibility. 9. How do I update a NAICS code in a Biennial Report? Choose one (1) of the following options: OPTION #1 - File your Biennial Report hard copy and select a new NAICS in the field provided. OPTION #2 (RECOMMENDED) - Complete the Amended Disclosure of Company Activities Form (#08-4887) and send via e-mail to Corporations@Alaska.Gov, or you may mail the form for processing. Our office will respond with confirmation when this is updated. The update will show on record when the next Biennial Report is filed. NOTE: Our office will verify that the new code matches the purpose on record. If the NAICS code does not align with the purpose, an amendment will need to be filed to update both the purpose and NAICS code. In addition, this does not update your Alaska Business License and you will need to submit a separate change to the Business Licensing Section. 10. What else should I be aware of within the Division of Corporations, Business and Professional Licensing? The status of your entity and/or professional license may directly affect your business license. Check the status of your Business License: Before engaging in business activity you must obtain a business license. If you have a business license the Corporations Section encourages you to check the status and expiration date to ensure your business license is current.
